Terms of Service

These Terms of Service govern your access to and use of the NeuroTrade platform and all related services provided by A3E Ecosystem Inc.

1. Definitions

"Company," "we," "us," or "our" refers to A3E Ecosystem Inc., a corporation incorporated under the laws of Canada, with its principal place of business in Ontario, Canada.

"Platform" refers to the NeuroTrade web application, APIs, documentation, and all associated digital services operated by the Company.

"Services" refers to the AI-powered cryptocurrency trading tools, signal generation, strategy execution, backtesting, risk management, and any other features provided through the Platform, as well as any digital products, SaaS tools, or consulting services offered by A3E Ecosystem Inc.

"User," "you," or "your" refers to any individual or entity that accesses or uses the Platform.

"API Keys" refers to the cryptocurrency exchange credentials you provide to the Platform for the purpose of executing trades on your behalf.

"AI-Generated Content" refers to any trading signals, analysis, predictions, recommendations, or other outputs produced by the Platform's artificial intelligence and machine learning models.

2. Description of Services

NeuroTrade is an AI-native cryptocurrency trading platform that provides:

• Automated trading signal generation using proprietary AI and machine learning models
• Strategy configuration, backtesting, and execution tools
• Risk management and portfolio monitoring features
• Real-time market data aggregation and analysis
• Copy-trading and multi-strategy subscription tiers

A3E Ecosystem Inc. also develops and distributes digital products, SaaS tools, and AI-powered services across multiple business domains. These Terms apply to all products and services offered under the A3E brand unless a separate agreement is in place.

NeuroTrade is a non-custodial platform. We never hold, manage, or have direct access to your cryptocurrency funds. All trades are executed through your own exchange accounts via the API Keys you provide.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher
• Have the legal capacity and authority to enter into a binding agreement
• Not be a resident of any jurisdiction where the use of cryptocurrency trading platforms or automated trading tools is prohibited by law
• Not be a person or entity subject to economic sanctions administered by Canada, the United States, the European Union, or the United Nations

By registering an account, you represent and warrant that you meet all eligibility requirements stated above.

4. Account Registration and Security

You are required to create an account to access the Platform's features. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with any third party
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at [email protected] if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are involved in fraudulent or abusive activity.

5. User Obligations

As a user of the Platform, you agree to:

• Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations in your jurisdiction
• Configure exchange API Keys with trade-only permissions and never provide withdrawal-enabled credentials
• Regularly monitor your exchange accounts and trading activity
• Use the risk management tools provided by the Platform to set appropriate position sizes, stop-losses, and exposure limits
• Not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any proprietary AI models, algorithms, or strategies
• Not resell, redistribute, or sublicense access to the Platform or its outputs without prior written consent from the Company
• Not use the Platform in any manner that could damage, disable, overburden, or impair the service, or interfere with any other party's use of the Platform
• Not use bots, scripts, or other automated means to interact with the Platform beyond the APIs we explicitly provide

6. Trading Risk Acknowledgement

Cryptocurrency trading involves substantial risk of financial loss. By using the Platform, you acknowledge and accept that:

• The value of cryptocurrencies is highly volatile and can change rapidly
• You may lose some or all of your invested capital
• Past performance of any strategy, AI model, or trading signal does not guarantee future results
• Backtested and simulated results may not reflect actual trading outcomes
• Market conditions, exchange outages, network congestion, and other factors beyond our control may affect trade execution
• You are solely responsible for your own trading decisions and their outcomes

7. AI-Generated Content Disclosure

Portions of the Platform's output, including trading signals, market analysis, strategy recommendations, and risk assessments, are generated by artificial intelligence and machine learning models. You acknowledge that:

• AI-Generated Content is produced algorithmically based on historical data, market indicators, and statistical models
• AI models may produce inaccurate, incomplete, or misleading outputs, particularly in unprecedented or rapidly changing market conditions
• AI-Generated Content does not constitute professional financial advice and should not be relied upon as the sole basis for any trading decision
• The Company makes no warranty regarding the accuracy, reliability, or completeness of any AI-Generated Content
• AI models are periodically retrained, updated, or replaced, which may change their behaviour and outputs without prior notice

8. Subscription Plans and Payment

Access to certain features of the Platform requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected subscription tier as displayed at the time of purchase
• Authorize recurring charges to your payment method at the beginning of each billing cycle unless you cancel before the renewal date
• Accept that subscription fees are non-refundable except where required by applicable law or as otherwise stated in our refund policy

We reserve the right to modify subscription pricing with at least 30 days' notice. Price changes will not apply to the current billing cycle. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.

All payments are processed securely through Stripe. The Company does not directly store or handle your credit card or payment card information.

9. Intellectual Property

All content, features, functionality, software, algorithms, AI models, trademarks, service marks, trade names, logos, and other intellectual property displayed on or associated with the Platform are the exclusive property of A3E Ecosystem Inc. or its licensors and are protected by Canadian and international intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business use, subject to these Terms. This licence does not include the right to:

• Copy, modify, or create derivative works based on the Platform or its content
• Redistribute, sell, lease, or sublicense any part of the Platform
• Use the Company's trademarks or branding without written permission
• Extract data from the Platform for purposes of building a competing product or service

10. Limitation of Liability

To the maximum extent permitted by applicable law, A3E Ecosystem Inc., its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, trading losses, or business interruption, arising from or in connection with:

• Your use of or inability to use the Platform
• Any trading decisions made in reliance on information or outputs provided by the Platform
• Errors, inaccuracies, or omissions in AI-Generated Content
• Unauthorized access to or alteration of your data or API Keys
• Service interruptions, downtime, or outages, whether planned or unplanned
• Actions or omissions of any third-party exchange, payment processor, or service provider

In no event shall the Company's total aggregate liability exceed the amount you have paid in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless A3E Ecosystem Inc. and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Any content or data you submit to the Platform

12. Termination

Termination by you: You may cancel your subscription and close your account at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing cycle. You will retain access to paid features until the end of the period you have already paid for.

Termination by us: We reserve the right to suspend or terminate your account, with or without notice, if:

• You breach any provision of these Terms
• Your use of the Platform poses a security risk or may cause harm to other users
• We are required to do so by law or regulatory order
• We discontinue the Platform or any material part of the Services

Upon termination, your right to access the Platform ceases immediately. We will delete your stored API Keys within 30 days of account closure. Provisions of these Terms that by their nature should survive termination (including limitations of liability, indemnification, and governing law) shall continue in effect after termination.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the bottom of this page
• Notify registered users by email at least 14 days before the changes take effect
• Display a prominent notice on the Platform

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform and close your account.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved as follows:

1. Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting the Company at [email protected]. The parties shall make a good-faith effort to resolve the matter within 30 days.
2. Mediation: If informal resolution fails, the parties agree to submit the dispute to mediation in the Province of Ontario before a mutually agreed-upon mediator.
3. Litigation: If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and A3E Ecosystem Inc. regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and the Company regarding the Platform.
